THIS
AGREEMENT OF NEW PARTNER is executed and delivered this_______day of
_______________20___ under the following terms and conditions:
WITNESSETH:
WHEREAS,
_______________________ Investment Club is a general partnership organized in
the State of ____________ for the purpose of investing money in stocks and
bonds; and
WHEREAS,
the agreements of the partners of the Investment Club have been set forth in
that certain “Partnership Agreement” dated ________________, the terms and
conditions of which have been incorporated herein by reference (herein the
“Partnership Agreement”); and
WHEREAS,
the undersigned has become a partner in accordance with the procedures set
forth in the Partnership Agreement, and desires to acknowledge membership in
the partnership by this writing.
NOW,
THEREFORE, in consideration of the premises, the adequacy and sufficiency of
which are hereby acknowledged, the undersigned agrees as follows:
1. The undersigned hereby agrees to be a
partner in the Investment Club, and hereby agrees to be bound by the terms,
conditions, duties and obligations of the Partnership Agreement, as the same
may be modified from time to time.
2. The undersigned further agrees to be bound
by the prior resolutions passed by the membership of the partnership subsequent
to the execution and delivery of the Partnership Agreement.
3. The undersigned acknowledges receipt of a
copy of the Partnership Agreement.
